DIR-3 KYC

DIR-3 KYC is an annual compliance requirement for every person who holds a Director Identification Number (DIN). Filing this form maintains the DIN in active status. Failure to file by September 30 each year results in DIN deactivation and a ₹5,000 reactivation penalty.

Service Overview

Keep Your DIN Active — File DIR-3 KYC on Time

The Ministry of Corporate Affairs introduced DIR-3 KYC to maintain an updated and verified database of all directors in India. Every DIN holder — whether actively serving as a director or not — must file DIR-3 KYC by September 30 each year. Directors filing for the first time must submit a full DIR-3 KYC with documents. Directors who have filed before (with no changes in mobile/email) can complete a quick web-based KYC (DIR-3 KYC-Web) using just an OTP — taking under 5 minutes.

Critical: DIR-3 KYC must be filed by September 30 every year. A ₹5,000 penalty is levied for even a single day's delay — and the DIN is marked 'Deactivated' until the fee is paid. An inactive DIN means the director cannot sign any company document or appear in any MCA filing.

Annual DIN Compliance

Required every year by Sept 30

Every DIN holder must file DIR-3 KYC by September 30 of each year. There is no grace period — a DIN not updated by the deadline is immediately marked 'Deactivated'.

Two Filing Options

Full form or quick web-based OTP

First-time filers or those changing mobile/email must file the full DIR-3 KYC form with documents. Returning filers with no changes can use the faster DIR-3 KYC-Web via OTP — no document uploads needed.

DIN Reactivation

₹5,000 penalty to restore

If a DIN is deactivated due to missed KYC, it can be reactivated only after paying a ₹5,000 fee and filing the KYC form. Deactivated directors cannot sign any MCA documents.

Quick Processing

Completed in 1–2 business days

DIR-3 KYC processing is fast. Full form submissions are approved within 1–2 days; web-based OTP KYC is instant. We handle the entire process for you with zero fuss.

Eligibility Criteria

Who Must File DIR-3 KYC?

All DIN holders — regardless of current directorship status — must file annually.

1

Active Directors

Every person currently serving as a director on the board of any Indian company or LLP must file DIR-3 KYC annually.

2

Resigned or Former Directors

Even directors who have resigned from all companies but retain their DIN must file DIR-3 KYC to keep the DIN valid (needed if they want to be appointed again in future).

3

Designated Partners in LLPs

Designated Partners with DPINs (Designated Partner Identification Numbers) must also file DIR-3 KYC annually to maintain their DPIN in active status.

4

Professionals & Dormant DIN Holders

CAs, CSs, and others who hold a DIN for professional reasons must file DIR-3 KYC annually or face DIN deactivation that prevents future appointments.

Key Benefits

Why File DIR-3 KYC on Time

The consequences of missing the DIR-3 KYC deadline are immediate and disruptive.

01

Maintain Active DIN

An active DIN is required to sign MCA documents, file company forms, and be appointed as director. A deactivated DIN immediately paralyzes all director activities.

02

Avoid ₹5,000 Penalty

Reactivating a deactivated DIN costs ₹5,000 in MCA fees — far more than the cost of timely compliance. Filing on time costs nothing if done via web-based KYC.

03

Protect Company Compliance

If a company's directors have deactivated DINs, the company cannot file any MCA forms until the DINs are reactivated — creating a cascade of compliance failures.

04

Preserve Director Appointability

A deactivated DIN prevents future appointments. Filing DIR-3 KYC annually ensures you remain available for directorship in new or existing companies.

05

Quick & Low-Cost

DIR-3 KYC-Web is free and takes under 5 minutes for returning filers. There is no government fee for timely annual filing.

06

Verified Director Database

Updated KYC ensures your contact details with MCA are correct — important for receiving notices, OTPs, and official communications from the MCA.

1
Step 1 of 6

Identify Filing Type

Confirm whether this is a first-time filing (requires full form with DSC) or an annual renewal (can use web-based OTP KYC if no changes in mobile/email).

2
Step 2 of 6

Verify Contact Details

Ensure the mobile number and email registered with MCA are correct and accessible — OTP verification requires these. Update via full DIR-3 form if they have changed.

3
Step 3 of 6

Prepare Documents (if full form)

For full DIR-3 KYC: prepare self-attested PAN, Aadhaar, address proof, and photograph. Get DSC ready for e-form signing.

4
Step 4 of 6

Fill & Submit Form

Log in to the MCA portal, fill the DIR-3 KYC or DIR-3 KYC-Web, enter OTP verifications on mobile and email, and submit.

5
Step 5 of 6

DSC Signing (if full form)

For the full DIR-3 KYC e-form, attach the director's DSC to complete the submission. The form is digitally signed and submitted to MCA.

6
Step 6 of 6

Download Acknowledgement

Download the MCA SRN and acknowledgement as proof of successful KYC filing. Check MCA portal to confirm DIN status shows 'Active'.

Post Registration

After Filing DIR-3 KYC

Once filed, confirm your DIN is active and mark the next year's deadline in your calendar.

After filing

Verify DIN Status

Check the DIN status on the MCA portal — it should show 'Active' within 24 hours of successful DIR-3 KYC filing. Keep the SRN acknowledgement as proof.

Sept 30 annually

Set Annual Reminder

The DIR-3 KYC deadline is September 30 every year. We proactively remind all our clients in August to file before the deadline and avoid the ₹5,000 penalty.

As needed

Update Contact Details If Changed

If your registered mobile or email changes during the year, update immediately via the full DIR-3 KYC form (with DSC) — don't wait for the annual deadline to discover OTP mismatch.
